User-Generated Content Guidelines

Introduction

At VG Entertainment Ltd. (the “Company”), we encourage you to create and share fan art, videos, and other creative content (the “UGC”) related to our games, including but not limited to the Survarium, Fear the Wolves, and Forest Reigns (the “Game”). Your imagination is the limit! Please adhere to these guidelines to ensure everyone enjoys and respects this creative freedom.

1. Encouraging Creativity

We appreciate and encourage our community’s creativity! Below are some examples of what you can create:

• (a) Fan Art: Illustrations, screenshots, and artistic representations inspired by characters, monsters, locations, or elements from our games.
• (b) Gameplay Videos and Streams: Share your gaming skills by creating videos or live-streaming gameplay on platforms like YouTube, Twitch, and similar services, provided you follow those platforms’ rules.
• (c) Cosplay: Design costumes, props, or items inspired by characters and monsters from our games for personal cosplay use.
• (d) Fan Communities: Build fan pages or websites dedicated to sharing updates, news, and creative content about our games, fostering a positive and engaged community.
• (e) Mods or Add-Ons: Develop mods or add-ons to enhance gameplay, subject to any restrictions outlined in this Agreement or the game’s End-User License Agreement (EULA).

2. Responsible and Respectful Use

To ensure everyone can enjoy and respect this creative freedom, we ask that you adhere to the following guidelines:

• (a) Non-Commercial Use:
  • Fan content must be for personal, non-commercial use only unless you have obtained explicit written permission from us.
  • Content cannot be sold, licensed, or monetized (e.g., behind paywalls) except for voluntary donations such as tips on streaming platforms.
  • The Company reserves the right to act against users actively monetizing content derived from our games without authorization.
• (b) No Third-Party Use: Fan content must not be incorporated into or used in third-party games, products, or services without our explicit written permission.
• (c) Non-Official Status: Indicate that your fan content is unofficial and not affiliated with or endorsed by us. For example, you can use visible wording such as “Fan Content” or similar disclaimers. We will notify you in writing if we decide to endorse your content.
• (d) Respectful Content: Do not create or share UGC that:
  • Contains offensive, illegal, racist, xenophobic, sexist, defamatory, or inappropriate material.
  • Violates the rights of third parties, including intellectual property or privacy rights.
  • Uses crossover elements involving third-party intellectual property without obtaining proper permissions.
• (e) Respect for Intellectual Property:
  • Do not use our trademarks, logos, or proprietary assets (e.g., characters, names, designs) in your UGC in a way that could cause confusion or imply endorsement without obtaining a license or written permission from us.
  • Ensure your content does not infringe on the Company’s intellectual property rights or breach this Agreement.
• (f) Legal Compliance: Ensure your UGC complies with your jurisdiction’s relevant laws, regulations, and intellectual property rights.
• (g) Non-Collaboration Policy: The Company does not collaborate with developers or entities from the Russian Federation, the Republic of Belarus, or temporarily occupied territories of Ukraine.

3. Sharing Your UGC

While it’s not mandatory, we would love it if you tag or notify us when sharing your UGC! This helps us recognize and promote your creativity where possible.

4. Rights to UGC

By sharing your UGC, you grant the Company a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to:

• Use, reproduce, adapt, modify, distribute, publicly display, or otherwise incorporate your UGC into the Game or related promotional materials.

This license is limited solely to purposes related to the Game and does not affect your ownership rights.

5. Retaining Ownership

You retain ownership of your UGC and any intellectual property rights you hold, subject to the license granted in Section 4.

6. Compliance and Consequences

All UGC must comply with this Agreement and any applicable community guidelines or policies we publish. If we determine that your UGC violates these terms, infringes on rights, or causes harm, we reserve the right to:

• (a) Remove or request removal of the UGC;
• (b) Restrict or suspend your access to the Game or related services;
• (c) Pursue legal action where necessary.

7. Grant of License by the Company:

7.1. While UGC is generally restricted to non-commercial use, VG Entertainment Ltd. may, at its sole discretion, grant individual creators a limited, non-exclusive, revocable, and non-transferable license to use specific elements of the Game’s intellectual property (e.g., characters, assets, or trademarks) under the following conditions:

• (a) Scope of License: The license will specify the exact IP elements permitted for use, the purposes for which the IP can be used, and any restrictions or limitations (e.g., platform, territory, or duration).
• (b) Term and Termination: Licenses will be granted for a fixed term and may be revoked at any time by VG Entertainment Ltd. upon written notice, with or without cause.
• (c) Non-Commercial/Commercial Use: Any commercial use of the licensed IP must be expressly authorized in writing and subject to additional terms, including potential revenue sharing or licensing fees.
• (d) Creator Responsibilities: The licensee must adhere to all applicable laws, refrain from using the licensed IP in ways that harm VG Entertainment Ltd. or its reputation, and ensure their UGC aligns with this UGC.

7.2. No Implied Rights:
Except as explicitly authorized in writing, no license or rights to the Company’s intellectual property are granted under this Agreement, whether by implication, estoppel, or otherwise. All rights, title, and interest in and to the Game and its intellectual property remain the exclusive property of VG Entertainment Ltd. and its licensors.

7.3. Application Process:
Creators seeking a license to use VG Entertainment Ltd.’s intellectual property must submit a formal request via legal@vgentertainment.com or any designated platform. Applications will be evaluated on a case-by-case basis, and granting a license remains at the Company’s sole discretion.

7.4.  Prohibited Uses Without License:
Without explicit permission from VG Entertainment Ltd., creators may not use the Company’s intellectual property in any manner that:

• (a) Suggests sponsorship, endorsement, or affiliation with VG Entertainment Ltd.;
• (b) Competes with or replicates the Game or its features;
• (c) Violates intellectual property or trademark laws;
• (d) Monetizes the Company’s IP (e.g., through paywalls, merchandise, or commercial sales).

8. Protecting Our Intellectual Property

While we encourage fan creativity, it is essential to safeguard our intellectual property and ensure it is used responsibly. If you are unsure whether your UGC complies with these guidelines, please contact us for clarification or permission.
